End-User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Booksify ("Company," "we," "us," or "our") for the use of the Booksify mobile application ("App" or "Application") and any related services.

1. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on mobile devices that you own or control
• Access and use the App for your personal, non-commercial purposes
• Access content made available through the App in accordance with applicable subscription terms

This license does not allow you to use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time.

2. License Restrictions

You agree NOT to:

• Copy, modify, or distribute the App or any content within it
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
• Remove, alter, or obscure any proprietary notices, labels, or marks on the App
• Use the App for any commercial purpose or for the benefit of any third party
• Use the App in any way that violates applicable laws or regulations
• Rent, lease, lend, sell, sublicense, or transfer the App to any third party
• Use the App to develop competing products or services
• Circumvent, disable, or interfere with security-related features of the App
• Use automated systems, scripts, or bots to access or interact with the App
• Extract, scrape, or harvest any data or content from the App

3. Intellectual Property Rights

Ownership

The App, including all content, features, and functionality, is owned by Booksify and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

This Agreement does not grant you any ownership interest in the App, but only a limited license to use the App as described herein.

Trademarks

Booksify, the Booksify logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Booksify. You may not use such marks without our prior written permission.

Third-Party Content

The App provides access to audiobook content, much of which is sourced from LibriVox and consists of public domain recordings. While this content is in the public domain, the App's compilation, presentation, and features remain proprietary.

4. App Store Terms

You acknowledge that this Agreement is between you and Booksify only, not with Apple Inc. ("Apple"). Apple is not responsible for the App or its content.

You must comply with any applicable third-party terms when using the App, including Apple's App Store Terms of Service.

5. Subscription Services

Certain features of the App require a paid subscription. By subscribing, you agree to the following:

• Billing: Subscriptions are billed through your Apple ID account
• Auto-Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
• Price Changes: We may change subscription prices with advance notice
• Cancellation: You may cancel anytime through your Apple ID settings
• Refunds: Refund requests are handled by Apple according to their policies

6. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

7. Updates and Changes

We may from time to time develop and provide App updates, which may include upgrades, bug fixes, patches, and other error corrections and/or new features (collectively, "Updates").

• Updates may modify or delete features or functionality
• You agree that we have no obligation to provide Updates or continue to support the App
• We may require you to accept Updates to continue using the App
• Continued use of the App after Updates constitutes acceptance of those Updates

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR AVAILABILITY
• FREEDOM FROM VIRUSES OR OTHER HARMFUL CODE

We do not warrant that the App will be uninterrupted, error-free, or completely secure. You use the App at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL BOOKSIFY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP OR SUBSCRIPTION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
• WE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE APP

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Booksify and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

• Your use of the App
• Your violation of this Agreement
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations

11. Term and Termination

Term

This Agreement is effective until terminated by you or us.

Termination by You

You may terminate this Agreement at any time by:

• Deleting the App from all your devices
• Canceling any active subscriptions through your Apple ID settings

Termination by Us

We may terminate this Agreement immediately without notice if you breach any provision of this Agreement. We may also terminate or suspend your access to the App at any time, for any reason, without liability.

Effect of Termination

Upon termination:

• All rights granted to you under this Agreement will cease
• You must stop using the App and delete all copies
• Provisions that by their nature should survive will remain in effect

12. Export Compliance

You may not export or re-export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained. In particular, the App may not be exported or re-exported to any U.S. embargoed countries or to anyone on U.S. Treasury Department's list of Specially Designated Nationals or U.S. Department of Commerce's Denied Persons List.

13. U.S. Government Rights

The App is a "commercial item" as defined in 48 C.F.R. §2.101, consisting of "commercial computer software" and "commercial computer software documentation." If acquired by a U.S. government agency, the App is licensed with only those rights set forth in this Agreement.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Booksify operates, without regard to its conflict of law provisions.

Any disputes arising under this Agreement shall be resolved through binding arbitration, except where prohibited by law.

15. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.

16. Entire Agreement

This Agreement, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and Booksify regarding the App and supersedes all prior agreements and understandings.
